North Dakota Corporate Name Endings

The name must contain the word "Corporation," "Incorporated," "Limited," "Company," or an abbreviation thereof. It must be in the English language or any other language expressed in English letters or characters. It may not contain words implying it is incorporated for a purpose other than business for which a company may be incorporated. The name may not be the same as, or deceptively similar to, the name of a domestic or foreign corporation, limited liability company, limited partnership, reserved name, registered fictitious name, or trade name, unless consent is given.

Director Information

  • Minimum Number: One or more.
  • Residence Requirements: No provision.
  • Age Requirements: Directors must be a natural person at least 18 years of age.
  • Directors are required to be listed in the articles of incorporation.

    Officer Information

  • Officers are not required to be listed in the articles of incorporation.

    Stock Information

  • An increase in the shares may cause an increase in initial filing fees.

    Corporate Records

  • A shareholder list and minutes of shareholders' meetings must be kept at the registered office or principal office of the corporation.

    North Dakota corporations and LLCs are required to have a registered agent located in North Dakota. The North Dakota registered agent is responsible for receiving important legal and tax documents including service of process (litigation) documents, franchise tax forms, and annual report forms.

    A North Dakota registered agent is an individual or company located at a street address in North Dakota. Post office boxes are not acceptable addresses for a registered agent in North Dakota.
